1. Agreement to Terms

By accessing or using the website and services of Lagos Logistics Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must discontinue use of the website and services immediately. These Terms apply to all visitors, users, shippers, carriers, and drivers who access or use the Site or our services.

2. Services

Lagos Logistics Inc. is a motor carrier of property operating in interstate and intrastate commerce. We provide dry van truckload, refrigerated (reefer) truckload, and power only transportation services across the Western United States. All transportation services are subject to applicable federal and state regulations, including those of the Federal Motor Carrier Safety Administration (FMCSA) and the U.S. Department of Transportation (DOT).

3. Quotes, Rates & Pricing

All quotes provided through our website or by our representatives are estimates only and do not constitute a binding offer. Final rates are subject to change based on:

  • Actual shipment weight, dimensions, and commodity classification
  • Pickup and delivery locations, accessibility, and scheduling
  • Equipment type required (dry van, refrigerated, or power only)
  • Current fuel costs and applicable fuel surcharges
  • Special handling, accessorial services, or additional stops
  • Seasonal demand, lane availability, and market conditions

Final pricing will be confirmed in a written rate confirmation, contract, or bill of lading executed by both parties prior to the commencement of transportation services.

4. Shipper Responsibilities

As a shipper utilizing our transportation services, you agree to:

  • Provide accurate and complete shipment information, including commodity description, weight, and piece count
  • Properly package, label, and palletize all freight in accordance with industry standards and applicable regulations
  • Disclose all hazardous materials in compliance with DOT 49 CFR regulations, including proper placarding and documentation
  • Ensure freight is ready and available for pickup at the agreed-upon date, time, and location
  • Provide safe, adequate, and accessible loading and unloading facilities
  • Execute a bill of lading or shipping receipt for each shipment tendered
  • Pay all charges in accordance with agreed-upon payment terms
  • Maintain adequate cargo insurance for the declared value of shipments

5. Carrier Liability & Cargo Claims

Lagos Logistics Inc. shall be liable for loss of or damage to cargo while in our care, custody, and control, subject to the following provisions:

  • Carrier liability for interstate shipments is governed by the Carmack Amendment (49 U.S.C. § 14706), which establishes carrier liability for the actual loss or injury to property.
  • All claims for loss, damage, or delay must be filed in writing within nine (9) months from the date of delivery or, in the case of non-delivery, within nine (9) months from the reasonable expected date of delivery.
  • Suits must be filed within two (2) years and one (1) day from the date the claim is denied or disallowed, in whole or in part.
  • Claims must include the original bill of lading number, description of the loss or damage, supporting documentation (photographs, inspection reports), and the amount claimed.
  • We are not liable for loss or damage caused by: acts of God; public enemy; authority of law; acts or defaults of the shipper; or inherent vice or nature of the goods.
  • Liability may be limited based on the released or declared value of the shipment as stated on the bill of lading or rate confirmation.

6. Payment Terms

Unless otherwise agreed in writing, all invoices are due and payable within thirty (30) days of the invoice date (Net 30). We accept payment via ACH transfer, wire transfer, check, and approved factoring companies. A credit application may be required for new accounts. Late payments may be subject to a service charge of 1.5% per month (18% per annum) on the outstanding balance, plus any collection costs and reasonable attorney fees incurred. Lagos Logistics Inc. reserves the right to suspend or terminate services for accounts with overdue balances and to exercise a carrier's lien on freight in its possession for unpaid charges.

7. Insurance

Lagos Logistics Inc. maintains cargo insurance, commercial auto liability insurance, and general liability insurance as required by the FMCSA and applicable state regulations. Certificates of insurance are available upon request. Shippers requiring additional insurance coverage beyond our standard limits should notify us in writing prior to tendering the shipment. Additional coverage may be arranged at an additional cost.

8. Prohibited & Restricted Items

Lagos Logistics Inc. reserves the right to refuse or reject transportation of:

  • Illegal substances, contraband, or goods prohibited by federal, state, or local law
  • Undeclared or improperly documented hazardous materials
  • Improperly packaged, labeled, or secured freight
  • Items that exceed equipment capacity, weight limits, or dimensional restrictions
  • Firearms, explosives, or weapons (unless properly licensed and documented)
  • Live animals or human remains

9. Force Majeure

Lagos Logistics Inc. shall not be liable for any failure, delay, or interruption in the performance of our obligations arising from circumstances beyond our reasonable control, including but not limited to: natural disasters, severe weather conditions, earthquakes, floods, fires, epidemics or pandemics, acts of terrorism or war, government actions or embargoes, labor disputes or strikes, road closures or traffic incidents, equipment breakdown, fuel shortages, or any other event that renders performance impracticable.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Lagos Logistics Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or transportation services, including but not limited to loss of profits, loss of business, or business interruption, regardless of the theory of liability. Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total amount paid by you for the specific transportation service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lagos Logistics Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) your use of our website or services; (c) your violation of any applicable law, regulation, or third-party right; or (d) any inaccurate, misleading, or incomplete information you provide.

12. Intellectual Property

All content on the Lagos Logistics Inc. website, including text, graphics, logos, images, and software, is the property of Lagos Logistics Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from this website without our prior written consent.

13. Website Use

By using our website, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation
  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems
  • Introduce viruses, malware, or other harmful code
  • Use automated means (bots, scrapers, crawlers) to access the Site without our prior written consent
  • Reproduce, distribute, or modify any content without our authorization

14. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LAGOS LOGISTICS INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be resolved exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

17. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the website with an updated effective date. Material changes may be communicated through a notice on our homepage. Your continued use of our website or services after any modification constitutes your acceptance of the revised Terms.
